Age Requirement

You must be at least 18 years old to use Carma. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@joincarma.io of any unauthorized access or security breaches.

Your Deal Contributions

Carma is a community-driven platform. By submitting deal information, you agree that:

• The deal information you provide is accurate and based on actual transactions
• You have the right to share this information
• Your deal data (excluding personal identifiers) may be shared with the Carma community
• Your contributions help build your Carma score and community reputation

User-Contributed Data Disclaimer

IMPORTANT: Deal data on Carma is contributed by community members and has not been independently verified by Carma. While we strive to maintain data quality, we make no guarantees about the accuracy, completeness, or reliability of any user-contributed information.

YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL DEAL INFORMATION BEFORE MAKING ANY PURCHASING DECISIONS. This includes verifying prices, fees, terms, and all other transaction details directly with dealers and relevant parties.

No Guarantee of Results

Carma provides deal data and AI-powered insights for informational purposes only. We do not guarantee that:

• You will achieve any particular price or deal terms
• Comparable deals reflect current market conditions
• AI recommendations will result in successful negotiations
• Any specific dealer will honor prices from comparable deals
• Market conditions, inventory, or pricing will remain consistent

Dealer Account Registration

Automotive dealerships may register for Dealer Accounts to access the Carma Dealer Portal. By registering as a Dealer, you represent and warrant that:

• You are an authorized representative of the dealership
• You have authority to bind the dealership to these Terms
• All information provided during registration is accurate and current
• You will maintain the confidentiality of your account credentials

Credit System

Carma uses a credit-based system for dealer participation in the proposal marketplace:

• One Credit = One Proposal Submission. Each proposal submitted to a shopper consumes one (1) credit
• Credit Consumption. Credits are consumed at the time of proposal submission, regardless of whether the shopper accepts, rejects, or ignores the proposal
• One-Time Credits. Credits purchased as one-time transactions never expire and remain in your account until used
• Subscription Credits. Credits granted through subscription plans expire six (6) months from the date of grant. Unused subscription credits do not accumulate indefinitely and are forfeited upon expiration
• Credit Priority. When credits are consumed, expiring credits are used first (soonest expiration first), followed by non-expiring credits in order of purchase date
• Non-Transferable. Credits cannot be transferred between dealerships or accounts
• No Monetary Value. Credits have no cash value and cannot be redeemed for cash

Refund Policy

• Unused Credits. One-time credit purchases are non-refundable. If you cancel a subscription, you retain access to any unused credits until their expiration date
• Used Credits. Credits consumed for proposal submissions are non-refundable, regardless of proposal outcome
• Billing Errors. If you believe you were charged in error, contact us at support@joincarma.io within thirty (30) days of the charge

How the Marketplace Works

The Carma Proposal Marketplace connects car shoppers with dealerships:

• Shopper Requests. Shoppers may submit deal requests specifying the vehicle they want and their target terms, or share proposals they have received from other dealers
• Dealer Proposals. Dealers may view available deal requests and submit proposals offering specific pricing, terms, and vehicle details
• Credit Consumption. Submitting a proposal consumes one (1) credit from the dealer's account
• Shopper Review. Shoppers review proposals at their discretion and may accept, reject, or ignore any proposal
• Contact Exchange. If a shopper accepts a proposal, contact information is mutually revealed to both parties to facilitate direct communication

Dealer Proposal Terms

By submitting a proposal, you agree that:

• All pricing, terms, and vehicle information in your proposal is accurate and current
• You have the vehicle in stock or can obtain it at the terms specified
• You will honor the proposal terms if the shopper accepts within the validity period
• Proposal pricing must include all mandatory fees; no undisclosed fees may be added later
• You will respond to accepted proposals within a reasonable timeframe

No Guarantee of Outcomes

Carma does not guarantee that any proposal will be accepted, that an accepted proposal will result in a completed sale, or any particular return on investment for credit purchases. The marketplace facilitates connections but does not ensure outcomes.

Transaction Completion

CARMA IS NOT A PARTY TO ANY VEHICLE TRANSACTION. Once contact information is exchanged, all negotiations, financing, and transaction details are solely between the dealer and shopper. Carma has no responsibility for the completion or terms of any resulting transaction. Any disputes regarding transactions are between the dealer and shopper.

Auto-Renewal

Dealer subscriptions automatically renew at the end of each billing period unless canceled. By subscribing, you authorize Carma to charge your payment method on file for each renewal period at the then-current subscription rate.

Cancellation

You may cancel your subscription at any time through the Stripe billing portal accessible from your Dealer Portal. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• No prorated refunds will be issued for partial billing periods
• Unused subscription credits remain available until their expiration date (6 months from grant date)
• You will not receive additional credit grants after cancellation takes effect

Price Changes

We may change subscription pricing with thirty (30) days' advance notice. Price changes will take effect at the start of your next billing cycle. Continued use of the subscription after a price change constitutes acceptance of the new pricing.

Payment Failures

If payment fails for a subscription renewal:

• We will attempt to charge your payment method multiple times over the following days
• Your account status will be marked as "past due" until payment succeeds
• You will not receive scheduled credit grants while in past due status
• After multiple failed attempts, your subscription may be canceled

License Grant

By uploading images, photos, documents, or other content ("User Content") to Carma, you grant us a non-exclusive, royalty-free, worldwide, transferable license to use, display, reproduce, modify, and distribute your User Content in connection with operating and improving our Services.

Your Representations

When uploading User Content, you represent and warrant that:

• You own or have the necessary rights to the content
• The content does not infringe on any third party's intellectual property or privacy rights
• The content does not contain malicious code, viruses, or harmful material
• The content complies with all applicable laws and these Terms
• Any personal information of third parties has been redacted or you have consent to share it

Content Moderation

We reserve the right to review, remove, or refuse to display any User Content at our sole discretion, including content that violates these Terms or our Community Guidelines.

Violations

We reserve the right to suspend or terminate your account, remove your content, and restrict your access to the Services at any time, without prior notice, for any reason, including but not limited to:

• Violation of these Terms or Community Guidelines
• Submission of false or misleading deal information
• Harassment or abuse of other users
• Fraudulent or illegal activity
• Repeated complaints from other users
• Any conduct that we determine, in our sole discretion, is harmful to the community

Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may retain your anonymized deal contributions to maintain the integrity of community data. You may request deletion of your personal information in accordance with our Privacy Policy. For Dealer Accounts, unused credits are forfeited upon termination for cause.

Appeals

If you believe your account was suspended or terminated in error, you may contact us at support@joincarma.io to request a review.

Informal Resolution

Before filing any legal claim, you agree to try to resolve any dispute informally by contacting us at support@joincarma.io. We will attempt to resolve the dispute within 60 days.

Binding Arbitration

If we cannot resolve a dispute informally, you and Carma agree to resolve any disputes through binding arbitration rather than in court, except that either party may bring claims in small claims court if eligible.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in California or another mutually agreed location.

Class Action Waiver

YOU AND CARMA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.
